These Terms of Service ("Terms") govern your access to and use of the digital services and web properties operated by Broken Duck Media. By using our website, products, or services, you affirm that you are of legal age and have read, understood, and agreed to be legally bound by these Terms. If you do not accept these Terms in full, you must not use our services.

Broken Duck Media offers AI-enhanced software development, digital consultation, and SaaS-based tools tailored primarily for educational and small business clients in Northern Thailand. Our offerings include web application development, custom integrations, chatbot deployments, and related digital services. All services are delivered on an as-available basis and may be subject to periodic updates or suspension at our discretion.

3. Eligibility and Access

You may access our services only if you are legally capable of entering into a binding contract. You agree to provide accurate and current information during any sign-up or communication process and to update that information if it changes. You must not impersonate another person or use false information in any interactions with us.

4. User Conduct

You agree to use our services in accordance with applicable law and the following conditions:

• You will not use our services for any fraudulent or unlawful purpose.
• You will not attempt to breach or bypass security mechanisms or probe system vulnerabilities.
• You will not distribute malware, spam, or unauthorized advertisements via our platform.
• You will not attempt to reverse-engineer, replicate, or redistribute proprietary code or systems.
• You will not harvest or collect information from our users without authorization.

5. Intellectual Property Rights

All content, graphics, code, design elements, trademarks, and other materials available on the Broken Duck Media website are the property of Broken Duck Media or its licensors. You may not copy, modify, distribute, publish, or create derivative works from this content without explicit written permission.

We may reference or integrate third-party assets or software where permitted under license. All such third-party intellectual property remains the property of its respective owners and is subject to their own terms.

6. Payment and Billing (if applicable)

Some of our services may be offered for a fee. If you engage in a paid service, you agree to the pricing, billing, and payment terms presented at the time of purchase. All payments must be made in full and are generally non-refundable unless otherwise stated in a signed service agreement or required by law.

We reserve the right to change our pricing model or fee structure at any time with prior notice.

7. Service Availability

We strive to maintain uninterrupted availability of our services but make no guarantees as to uptime or functionality. Scheduled maintenance, upgrades, or unforeseen disruptions may occur. We are not responsible for service outages or data losses that result from user-side misconfiguration, internet interruptions, or force majeure events.

8. Limitation of Liability

To the maximum extent permitted by law, Broken Duck Media disclaims all liability for any damages, including but not limited to direct, indirect, incidental, or consequential damages arising from your use of or inability to use our services. This includes, without limitation, lost revenue, loss of data, system failure, or security breach.

Our liability will never exceed the amount you paid us in the preceding 6 months, if any. Certain jurisdictions may not allow such limitations, in which case these limitations may not apply to you.

Our platform may include links to third-party websites or services that are not owned or controlled by Broken Duck Media. We provide these links for convenience and informational purposes only. We do not endorse, monitor, or assume any responsibility for the content, policies, or practices of third parties. Accessing such services is at your own risk.

You may also request cancellation of services or account access at any time by contacting us directly. In cases of termination, all obligations owed to us by you remain enforceable.

Broken Duck Media reserves the right to modify these Terms at any time. Updates will be posted on this page and indicated with a revised effective date. Your continued use of the services after such modifications constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Kingdom of Thailand. You agree to submit to the exclusive jurisdiction of the courts located in Thailand for any disputes arising out of or relating to these Terms or your use of our services.

13. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be removed or limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any part of these Terms does not constitute a waiver of our rights to enforce them later.
